OVERVIEW

Welcome to Virrelle.

The terms “we”, “us” and “our” refer to Virrelle. Virrelle operates this website and online store, including all related information, content, features, tools, products and services made available through it (collectively, the “Services”).

Our store is hosted by Shopify, which provides the ecommerce platform that enables us to offer the Services to you.

These Terms of Service, together with any policies referenced in them, describe your rights and responsibilities when accessing or using the Services.

Please read these Terms carefully. They contain important information about your legal rights and obligations, including provisions relating to warranties, liability, purchases, refunds and dispute resolution.

By visiting, accessing, interacting with or purchasing through the Services, you agree to be bound by these Terms of Service and our Privacy Policy.

If you do not agree to these Terms or our Privacy Policy, you should not use the Services.

Nothing in these Terms is intended to exclude, restrict or modify any consumer guarantee, right or remedy that cannot lawfully be excluded, restricted or modified under applicable law, including the Australian Consumer Law.


SECTION 1 — ACCESS AND ACCOUNTS

By using the Services, you represent that you are at least the age of majority in your state, territory, province or country of residence, or that you otherwise have the legal capacity to enter into these Terms.

If you permit a minor to use the Services through a device or account you own or control, you are responsible for supervising that use where permitted by applicable law.

To use certain parts of the Services or make a purchase, you may be required to provide information including your name, email address, billing information, payment information and shipping address.

You agree that information you provide will be accurate, current and complete.

If you create an account, you are responsible for maintaining the confidentiality of your account credentials and for activity conducted through your account.

You must notify us promptly if you believe your account has been accessed without authorisation.

You may not sell, transfer, assign or license your customer account to another person without our written permission.


SECTION 2 — OUR PRODUCTS

We make reasonable efforts to ensure that product descriptions, photographs, specifications, pricing and other product information displayed through the Services are accurate.

However, colours and appearance may vary depending on your screen, device settings, lighting conditions and manufacturing variations.

Where products contain natural ingredients, minor differences in colour, flavour, texture or appearance may also occur between batches where this does not affect the product's quality, safety or conformity with its description.

Product descriptions, packaging, formulas, availability and specifications may be updated from time to time.

We reserve the right to discontinue products or limit quantities available to particular customers or jurisdictions where reasonably necessary.

Nothing in this section limits any rights you may have where a product is faulty, unsafe, materially different from its description or otherwise fails to satisfy a consumer guarantee under applicable law.


SECTION 3 — HEALTH AND WELLNESS INFORMATION

Certain Virrelle products may be foods, dietary supplements, wellness products or products intended to support a general nighttime or wellness routine.

Unless expressly stated otherwise and lawfully permitted, information available through the Services is provided for general informational and educational purposes only.

It is not intended to diagnose, treat, cure or prevent any disease or medical condition and should not be treated as a substitute for professional medical advice, diagnosis or treatment.

Individual experiences and results may vary.

You should review product labels, ingredients, allergen information, warnings and directions before use.

If you are pregnant or breastfeeding, take prescription or other medication, have an existing medical condition, are preparing for surgery or have concerns about whether a product is suitable for you, you should consult an appropriately qualified healthcare professional before use.

If you experience an unexpected or adverse reaction, discontinue use and seek appropriate medical advice.

Any product-specific representations remain subject to applicable labelling, advertising and consumer-protection laws.


SECTION 4 — ORDERS

Submitting an order constitutes an offer by you to purchase the selected products.

An automated order acknowledgement does not necessarily constitute final acceptance of your order.

We may decline or cancel an order where reasonably necessary, including where:

  • a product is unavailable;
  • payment cannot be authorised;
  • pricing or product information contains a material error;
  • fraud or unauthorised activity is suspected;
  • shipping to the requested location is unavailable or restricted; or
  • accepting the order would breach applicable law.

Where we cancel an order after payment has been received and no products have been supplied, we will refund the amount paid for the cancelled portion of the order.

Please review your order carefully before submitting it.

Once an order has entered fulfilment, we may not be able to change or cancel it.

If we need to contact you regarding an order, we may use the email address, telephone number or billing information supplied during checkout.

Unless otherwise agreed, products purchased through our consumer store are intended for personal or household use and not for unauthorised commercial resale.


SECTION 5 — PRICES, PAYMENTS, TAXES AND DUTIES

Prices, promotions and discounts may change from time to time.

The price applicable to your purchase will normally be the price shown at checkout when your order is submitted, subject to correction of obvious or material pricing errors permitted by applicable law.

Depending on your location and store settings, prices may be displayed in your local currency or another available currency.

You agree to provide accurate and complete payment and billing information and confirm that you are authorised to use the payment method supplied.

Applicable sales taxes, GST, VAT or similar taxes may be calculated or collected at checkout where required.

Virrelle currently advertises free worldwide shipping where stated on the website. However, international shipments may in some circumstances be subject to customs duties, import taxes, brokerage charges or similar government charges imposed by the destination country.

Unless checkout expressly states that duties and import taxes are included, any such charges imposed by the destination jurisdiction remain the customer's responsibility.

We are not responsible for charges independently imposed by customs authorities or government agencies.

Promotional offers may be subject to additional terms disclosed with the relevant promotion. If those specific promotional terms conflict with these Terms, the promotional terms will apply to that promotion.


SECTION 6 — SHIPPING AND DELIVERY

We offer shipping to eligible destinations shown at checkout.

Delivery timeframes displayed on the Services are estimates rather than guarantees unless we expressly state otherwise.

Delivery may be affected by matters outside our reasonable control, including carrier delays, customs processing, extreme weather, public holidays, incorrect address information and other disruptions.

You are responsible for providing an accurate and complete delivery address.

If you notice an address error after ordering, contact us as soon as possible. We cannot guarantee that an address can be changed once fulfilment has begun.

To the extent permitted by applicable law, risk of loss or damage passes to you when the goods are delivered to you or to a person authorised by you to receive them.

Nothing in this section removes any responsibility we may have under applicable consumer law where goods are lost, damaged, faulty or not delivered as agreed.

If your order appears lost, arrives damaged or tracking indicates delivery but you have not received the parcel, contact us at oscar@virrelle.com so we can investigate.


SECTION 7 — RETURNS, REFUNDS AND CONSUMER RIGHTS

Returns, refunds and exchanges are governed by our Refund Policy:

Any voluntary guarantee, return period or money-back guarantee offered by Virrelle is provided in addition to, and does not replace, rights you may have under applicable consumer law.

For Australian consumers, our goods come with guarantees that cannot be excluded under the Australian Consumer Law.

You may be entitled to a replacement or refund for a major failure and compensation for other reasonably foreseeable loss or damage.

You may also be entitled to have goods repaired or replaced where they fail to be of acceptable quality and the failure does not amount to a major failure.

Customers in other jurisdictions may have additional mandatory consumer rights which these Terms do not exclude.


SECTION 8 — SUBSCRIPTIONS AND RECURRING PURCHASES

If Virrelle offers subscriptions or recurring purchases, the specific subscription price, billing frequency, products included and applicable savings will be disclosed before you subscribe.

By purchasing a subscription, you authorise us and our payment providers to charge the payment method you select at the disclosed recurring interval until the subscription is cancelled or otherwise ends.

Subscription terms must be presented clearly before purchase and your subscription will not be created without your affirmative agreement.

Where permitted and applicable, you may manage or cancel your subscription through the customer portal or by contacting us.

Cancellation will normally apply to future renewal charges. Orders that have already been processed or entered fulfilment may remain subject to the Refund Policy.

If subscription pricing changes, we will provide any notice required under applicable law before the changed price applies.

We will not intentionally make cancellation materially more difficult than enrolment.

SECTION 9 — INTELLECTUAL PROPERTY

The Services and their contents, including trademarks, logos, branding, written content, graphics, product photography, video, audio, website design and other materials, are owned by or licensed to Virrelle and are protected by applicable intellectual-property laws.

These Terms permit you to access and use the Services for lawful personal and non-commercial purposes.

Except where permitted by law or with our prior written permission, you may not reproduce, distribute, modify, publicly display, republish, commercially exploit or create derivative works from material belonging to Virrelle.

Nothing in these Terms grants you ownership of, or a licence to use, Virrelle trademarks, logos or other proprietary branding except as expressly permitted.

The Shopify name, logo and related marks belong to Shopify.

Other names, logos and trademarks appearing through the Services remain the property of their respective owners.


SECTION 10 — OPTIONAL THIRD-PARTY TOOLS

The Services may provide access to tools, applications or functionality supplied by third parties.

We may not control or monitor these third-party tools.

Third-party tools may be subject to separate terms and privacy policies imposed by the relevant provider.

Your use of an optional third-party service is at your discretion and should be undertaken after reviewing the provider's applicable terms.

To the extent permitted by law, Virrelle is not responsible for losses arising solely from the independent operation of a third-party tool outside our reasonable control.

We may introduce additional tools, resources or features in the future. Unless otherwise stated, they will form part of the Services and remain subject to these Terms.


SECTION 11 — THIRD-PARTY LINKS

The Services may contain links to websites, services or content operated by third parties.

A link does not necessarily mean that Virrelle endorses or controls that third party.

We are not responsible for the accuracy, security, availability or practices of websites operated independently from Virrelle.

If you leave the Services to access a third-party website, you should review that site's terms and privacy practices before purchasing products, supplying information or otherwise interacting with it.

Issues relating solely to products or services purchased directly from an independent third party should generally be addressed with that third party.

Nothing in this section limits responsibility that cannot legally be excluded.


SECTION 12 — RELATIONSHIP WITH SHOPIFY

Virrelle is powered by Shopify, which enables us to provide the Services to you.

However, purchases made through our Store are transactions directly between you and Virrelle.

Shopify is not the seller of Virrelle products and is not responsible for fulfilling our orders, handling our product warranties or otherwise performing Virrelle's obligations to customers.

To the extent permitted by applicable law, Shopify and its affiliates are not responsible for injury, damage or loss arising solely from products purchased from Virrelle or transactions between you and Virrelle.

Nothing in this section affects rights that cannot lawfully be waived.


SECTION 13 — PRIVACY

Personal information collected through the Services is handled in accordance with our Privacy Policy:

Because our store is hosted by Shopify, Shopify may also collect and process certain information relating to your access to and use of the Services.

Information necessary to operate our store may be processed by Shopify, payment providers, fulfilment partners, analytics providers and other service providers, some of which may operate in countries other than your country of residence.

SECTION 14 — FEEDBACK, REVIEWS AND USER CONTENT

If you voluntarily submit a review, photograph, video, suggestion, testimonial, comment or other content to Virrelle (“Feedback”), you grant Virrelle a non-exclusive, worldwide, royalty-free licence to use, reproduce, display, publish, adapt and distribute that Feedback for purposes connected with operating, improving and promoting the Services.

This licence does not transfer ownership of your Feedback to us.

You represent that you have the rights necessary to submit that Feedback and that its use as permitted by these Terms will not knowingly infringe another person's rights.

If you received payment, free products, discounts or another incentive in connection with your Feedback, you must make any disclosure required by applicable law.

We may moderate or remove Feedback that we reasonably believe is unlawful, fraudulent, abusive, defamatory, misleading, obscene, infringing or otherwise inappropriate.

You must not submit false reviews, impersonate another person or misrepresent your experience with a product.

We do not guarantee publication of any submitted Feedback.


SECTION 15 — ERRORS, INACCURACIES AND OMISSIONS

From time to time, the Services may contain typographical errors or inaccuracies relating to product descriptions, availability, pricing, promotions, shipping charges or estimated delivery times.

Where permitted by applicable law, we may correct genuine errors and update information.

If a material error affects an order you have already placed, we will take reasonable steps to notify you and provide any remedy required by applicable law.

Nothing in this section permits us to engage in misleading or deceptive conduct or avoid obligations relating to an accepted consumer transaction.


SECTION 16 — PROHIBITED USES

You may use the Services only for lawful purposes.

You must not use the Services to:

  • violate applicable laws or another person's legal rights;
  • infringe intellectual-property rights;
  • transmit malicious software or intentionally interfere with the Services;
  • submit fraudulent, deceptive or materially misleading information;
  • impersonate another person or entity;
  • harass, threaten or unlawfully abuse another person;
  • obtain or attempt to obtain unauthorised access to systems, accounts or data;
  • scrape or systematically extract content in breach of applicable law or technical access restrictions;
  • circumvent security controls or access restrictions; or
  • use the Services in a manner reasonably likely to damage the Services or materially interfere with another customer's legitimate use.

We may restrict or suspend access where we reasonably believe these Terms have been materially breached or where required to protect customers, Virrelle or the security of the Services.


SECTION 17 — AUTOMATED AGENTS

Automated or semi-automated software interacting with the Services must comply with applicable law, these Terms and reasonable technical access controls implemented by Virrelle or Shopify.

An automated system must not intentionally conceal its automated nature in order to bypass technical protections or restrictions.

Automated systems may not circumvent CAPTCHAs, authentication requirements, rate limits, robots directives or other technical controls designed to regulate automated access.

We may restrict automated access where reasonably necessary to protect the security, availability or lawful operation of the Services.


SECTION 18 — TERMINATION

You may stop using the Services at any time.

We may suspend or terminate access to some or all of the Services where reasonably necessary, including where you materially breach these Terms, engage in fraud or unlawful conduct, threaten the security of the Services or where we are legally required to do so.

Termination does not affect rights or obligations that accrued before termination.

Provisions that by their nature are intended to survive termination—including intellectual property, liability, consumer rights, governing law and dispute provisions—will continue to apply.


SECTION 19 — DISCLAIMER OF WARRANTIES

Nothing in these Terms excludes, restricts or modifies a guarantee, warranty, condition, right or remedy that cannot lawfully be excluded under applicable law.

Subject to those mandatory rights, the Services are provided on an “as available” basis.

We do not guarantee that access to the website will always be uninterrupted, error-free or free from temporary technical problems.

General information provided through the Services should not be relied upon as professional medical, legal, financial or other regulated professional advice unless expressly identified as such and provided by an appropriately qualified person.

Where law permits warranties or conditions to be excluded, we exclude implied warranties only to the maximum extent legally permitted.


SECTION 20 — LIMITATION OF LIABILITY

Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability arising under mandatory consumer guarantees.

To the maximum extent permitted by law, Virrelle and its officers, employees, contractors and service providers will not be liable for indirect, incidental, special or consequential losses arising from your use of the Services where those losses were not reasonably foreseeable or were caused by circumstances outside our reasonable control.

This limitation does not apply where applicable law gives you a right to compensation for reasonably foreseeable loss or damage arising from a failure to comply with a mandatory consumer guarantee.

Where liability can lawfully be limited but not excluded, our liability will be limited only to the extent permitted by applicable law.


SECTION 21 — INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify Virrelle against third-party claims, losses or reasonable legal costs arising directly from your deliberate unlawful use of the Services, infringement of another person's rights or material breach of these Terms.

You will not be required to indemnify Virrelle for losses caused by Virrelle's own negligence, unlawful conduct or breach of applicable consumer law.

Nothing in this section limits rights that cannot lawfully be excluded.


SECTION 22 — SEVERABILITY

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be interpreted or limited to the minimum extent necessary to make it enforceable where possible.

If it cannot be made enforceable, the affected portion will be severed.

The remaining provisions will continue in effect.


SECTION 23 — WAIVER AND ENTIRE AGREEMENT

If either party does not immediately enforce a right under these Terms, that does not automatically waive that right.

These Terms, together with policies and specific terms expressly incorporated into them, constitute the agreement between you and Virrelle relating to your use of the Services.

They supersede prior versions of these Terms relating to the same subject matter.

Nothing in this section excludes representations, guarantees or rights that cannot legally be excluded.


SECTION 24 — ASSIGNMENT

You may not transfer rights or obligations under these Terms to another person without our prior written consent where the transfer would materially affect Virrelle.

Virrelle may transfer or assign its rights and obligations as part of a legitimate restructuring, sale or transfer of the business, provided doing so does not unlawfully reduce your existing consumer rights.


SECTION 25 — GOVERNING LAW

These Terms are governed by the laws of Western Australia and the applicable laws of the Commonwealth of Australia.

The courts of Western Australia will have non-exclusive jurisdiction in relation to disputes arising from these Terms.

However, nothing in this section is intended to deprive a consumer of mandatory rights or protections available under the laws of the jurisdiction in which that consumer resides.

Where applicable consumer law permits you to commence proceedings or seek remedies in another jurisdiction, these Terms do not remove that right.


SECTION 26 — FORCE MAJEURE

To the extent permitted by law, Virrelle will not be responsible for delay or failure to perform an obligation caused by circumstances outside our reasonable control, including natural disasters, severe weather, carrier disruption, customs delays, labour disruption, war, civil unrest, government action, epidemics, major infrastructure failure or widespread communications outages.

This provision does not remove obligations or remedies that cannot lawfully be excluded.


SECTION 27 — CHANGES TO THESE TERMS

You may review the current version of these Terms at any time on this page.

We may update these Terms from time to time to reflect changes to our business, Services, legal obligations or operational practices.

Where a change materially affects existing customer rights or obligations, we will provide notice where required by applicable law.

Updates will take effect from the date stated in the revised Terms and will not retrospectively remove rights you acquired before the change.

Continued use of the Services after updated Terms become effective constitutes acceptance of those updated Terms to the extent permitted by law.
